Ashley is a senior corporate associate with Maynard Cooper. He is a member of the firm’s Mergers and Acquisitions practice group, as well as the firm’s Intellectual Property and Antitrust practice groups. Ashley advises clients on all types of corporate issues—ranging from entity formation, drafting form client contracts and general terms and conditions, and negotiating supplier/vendor contracts. His clients range from seedling and start-up companies to large publicly-traded companies.
A significant focus of Ashley’s corporate practice is in the area of mergers and acquisitions. He has significant experience representing both buyers and sellers from various industries, including healthcare, private equity, manufacturing, transportation/commercial trucking, insurance and intellectual property. His M&A experience covers a broad spectrum of deal sizes, ranging anywhere from million dollar deals to hundred million dollar deals. As discussed in greater detail below, Ashley also advises buyers and sellers on the applicability of the Hart-Scott-Rodino Act (HSR) and the filing of Premerger Notifications to the Federal Trade Commission (FTC) and Department of Justice (DOJ) as they relate to mergers and acquisitions.
Ashley advises a number of clients on a variety of antitrust issues, including Sections 1 and 2 of the Sherman Act, the Clayton Act and the Robinson-Patman Act. He has prepared numerous Antitrust Compliance Policies and advised on a variety of antitrust issues, including horizontal and vertical pricing (including price-fixing, retail price maintenance, discriminatory pricing, and predatory pricing), horizontal and vertical non-price restraints (including territory and customer allocation, exclusive dealing, and dealing with competitors), group boycotts, tying, monopolization and attempted monopolization, and antitrust exemptions (including the state-action immunity doctrine and Copperweld Doctrine). He also advises a number of clients, especially with respect to the manufacturing and healthcare industries, on antitrust issues related to mergers and acquisitions, including determining the applicability of the HSR Act and its related exemptions, preparing an antitrust merger strategy, ultimately filing an HSR premerger notification filing and dealing with the FTC and DOJ.
Ashley is a graduate of Yale University, and he received his J.D. cum laude from the University of Alabama School of Law.
