Gregory Sapire

In his more than 25 years of practice, Greg has successfully tried cases in both state and federal courts and led successful domestic and international arbitrations. His representation includes a wide variety of public and private clients throughout Texas and in other states involving complex (often multi-party) commercial and construction matters. The range of disputes Greg has handled includes breach of contract and fiduciary obligations, securities fraud, noncompetition obligations, warranty disputes, trade secret misappropriation, unfair competition, product liability, professional negligence, and regulatory issues.

Among other clients, Greg’s practice often involves representing banks and other secured creditors in litigation arising from leasing and lending relationships, including advice on litigation strategy related to foreclosures, workouts, repossession of collateral, and debt collection. He also represents owners, tenants, contractors, and design professionals in high-stakes, complex construction, and real estate disputes. Greg also counsels private sector and governmental-entity clients concerning compliance with the Texas Open Meetings Act, the Texas Public Information Act, and the federal Freedom of Information Act. Additionally, he represents clients in litigation matters involving these statutes, including disputes over requests to governmental entities to release proprietary, trade secret, or otherwise confidential information.

Greg has also represented physicians, nurses, allied health practitioners, medical practices, and hospital systems in various disputes arising out of health care services and licensing. And, as a son and brother of physicians in major academic medical care systems, Greg has been familiar with the health care sector throughout his life.

Greg received his J.D. with honors from The University of Texas School of Law. He also holds a B.A., with high honors, from the Plan II Honors Program in the College of Liberal Arts at The University of Texas at Austin.

• Won a take-nothing judgment in a nearly month-long jury trial involving complex forensic accounting issues and claims seeking more than $60 million based on an alleged “straw man” investment in a consumer-product company acquired for $845 million.
• Represented a group of industry participants suing the Federal Trade Commission and others over the unconstitutionality of a regulatory statute.
• Represented a publicly traded Fortune 500 transportation company in a government contract dispute with the State of Texas.
• Represented a wholly owned subsidiary of a publicly traded Fortune 500 consumer product manufacturer in a multi-million-dollar patent license dispute.
• Represented a privately owned building material manufacturer in multi-party aggregator suits alleging design and manufacturing defects purportedly affecting hundreds of homes.
• Represented a wholly owned subsidiary of a Fortune 500 publicly traded energy company in state tax litigation.
• Represented buyers and sellers in various disputes arising from asset and stock purchase agreements concerning alleged fraud: breaches of representations and warranties: and post-closing adjustments.
• Won dismissal of an opt-in class action suit under the Fair Labor Standards Act on behalf of a regional branded convenience store/quick-service restaurant operator.
• Obtained temporary injunctive relief and then a favorable settlement on behalf of a Global 2000 provider of electrical equipment solutions to enforce a former executive employee’s non-compete obligations.
• Won take-nothing judgment for a Fortune 1000 consumer products company facing multi-million dollar claims of conspiracy to breach fiduciary duty, unfair competition, conversion, and unjust enrichment by a service provider arising out of the parties’ contractual relationship.
• Won $7.25 million jury trial verdict on behalf of a foreign partnership in a breach-of- contract dispute over owner-financed transportation assets.
• Favorably settled a multi-million-dollar software development and outsourcing project dispute before the State Office of Administrative Hearings against one of the largest governmental agencies in Texas on behalf of a NYSE-listed contractor.
• Won summary judgment on behalf of Fortune 500 retailer in land-use and trespass dispute.
• Defended multi-million-dollar securities fraud and related claims against a registered investment advisor, affiliates, and its principals arising out of a series of real estate-related Regulation D offerings, while also resolving parallel investigations by the U.S. Securities and Exchange Commission and a state securities regulator.
• Defended U.S.-based international engineering firm against state and federal environmental enforcement actions related to Hurricane Katrina reconstruction projects.
• Successfully settled hazardous-waste contamination claims against a national trucking company and an international electronics manufacturer on behalf of a major local municipal solid waste landfill operator in private litigation and parallel administrative proceedings against the Texas Commission on Environmental Quality.
• Defended privately held general contractor against multi-million-dollar environmental claims by state and county governments and private plaintiffs arising from construction-project storm water discharges allegedly affecting protected local water resources.
• Prosecuted claims on behalf of real estate limited partnership investors for fraud, breach of contract, and breach of fiduciary duty against general partners.
• Defended general partners against claims by foreign limited-partner investors in U.S. real estate limited partnerships for fraud, breach of contract, and breach of fiduciary duty.
• Defended and prosecuted design and construction defect claims on behalf of various design professionals, owners, and contractors.
• Defended independent directors of a publicly traded special-purpose acquisition company against shareholder-derivative claims in The Chancery Court of Delaware.
• Defended corporate officers in complex, multi-party securities-fraud litigation against a publicly traded medical device manufacturer.
